Common use of Sublicensing of New Third Party Licenses Clause in Contracts

Sublicensing of New Third Party Licenses. Such New Third Party License shall be (a) sublicensable to the Xxxxxxxxx for purposes of Xxxxxxxxx conducting activities or potential activities permitted under this Agreement and for performing obligations under this Agreement and (b) assignable to Xxxxxxxxx in the event of a termination of this Agreement. In the event AstraZeneca is unable to negotiate a New Third Party License that is sublicensable and assignable to Xxxxxxxxx to the extent set forth above, then the Parties will meet and discuss how to proceed.
