Submission to Jurisdiction; Agent for Service of Process. (a) -------------------------------------------------------- The Pledgor hereby irrevocably submits to the non-exclusive jurisdiction of any state or federal court sitting in the County of New York, State of New York, in connection with any action or proceeding arising out of or related to this Agreement, or any other Security Document, or the transactions contemplated hereby or thereby, irrevocably consents to the service of process in such actions, and, to the maximum extent permitted by law, waives irrevocably any objection to venue or objections in the nature of forum non conveniens that it ----- --- ---------- may have.
