Submission to Jurisdiction; Consent to Service of Process; Waiver of Jury Trial. (a) The parties hereto hereby irrevocably submit to the non-exclusive jurisdiction of any federal or state court located within the State of Delaware over any dispute arising out of or relating to this Agreement or any of the transactions contemplated hereby and each party hereby irrevocably agrees that all claims in respect of such dispute or any Legal Proceeding related thereto may be heard and determined in such courts. The parties hereby irrevocably waive, to the fullest extent permitted by applicable Law, any objection that they may now or hereafter have to the laying of venue of any such dispute brought in such court or any defense of inconvenient forum for the maintenance of such dispute. Each of the parties hereto agrees that a judgment in any such dispute may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by Law. (b) Each of the parties hereto hereby consents to process being served by any party to this Agreement in any Legal Proceeding by the mailing of a copy thereof in accordance with the provisions of Section 12.8. (c) THE PARTIES HEREBY WAIVE TRIAL BY JURY IN ANY LEGAL PROCEEDING BROUGHT BY ANY OF THEM AGAINST THE OTHER IN ANY MATTERS ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS AGREEMENT.

Submission to Jurisdiction; Consent to Service of Process; Waiver of Jury Trial. (a) The Each of the parties hereto hereby agrees that any legal action or proceeding with respect to this Agreement may be brought in the courts of the State of New York, County of New York or the United States District Court for the Southern District of New York and, by execution and delivery of this Agreement, each party hereto irrevocably submit submits itself in respect of its property, generally and unconditionally to the non-exclusive jurisdiction of the aforesaid courts in any federal legal action or state court located within the State of Delaware over any dispute proceedings arising out of or relating to in connection with this Agreement or any of brought in the transactions contemplated hereby and each courts referred to in the proceeding sentence. Each party hereby irrevocably consents to process being served in any such action or proceeding by the mailing of a copy thereof to the address set forth in Section 11.5 hereof and agrees that all claims such service upon receipt shall constitute good and sufficient service of process or notice thereof. Nothing in respect of such dispute this Section 11.2 shall affect or eliminate any Legal Proceeding related thereto may be heard right to serve process in any other matter permitted by law. (b) The Company and determined in such courts. The parties Parent each hereby irrevocably waive, to the fullest extent permitted by applicable Law, any objection that they may now right to trial by jury of any claim, demand, action or hereafter have cause of action (i) arising under this Agreement or (ii) in any way connected with or related or incidental to the laying of venue of any such dispute brought in such court or any defense of inconvenient forum for the maintenance of such dispute. Each dealings of the parties hereto agrees in respect of this Agreement or any of the transactions related hereto, in each case, whether now existing or hereafter arising, and whether in tort, contract, equity or otherwise. The Company and Parent each hereby agree and consent that a judgment in any such dispute claim, demand, action or cause of action shall be decided by court trial without a jury and that any party may be enforced in other jurisdictions by suit on file an original counterpart of a copy of this Agreement with any court as written evidence of the judgment or in any other manner provided by Law. (b) Each consent of the parties hereto hereby consents to process being served the waiver of their right to trial by any party to this Agreement in any Legal Proceeding by the mailing of a copy thereof in accordance with the provisions of Section 12.8jury.
