Common use of Subordination Effective and not Impaired Clause in Contracts

Subordination Effective and not Impaired. This Section 2.8 shall remain effective for so long as this Guaranty is continuing and thereafter for so long as any Guaranteed Obligation is outstanding. Each Guarantor's obligations under this Section 2.8 (i) shall be absolute and unconditional as set forth in Section 2.3, irrevocable and continuing as set forth in Section 2.4, subject to reinstatement as set forth in Section 2.5, and not be affected or impaired by any of the matters waived in Section 2.6, (ii) shall be subject to the provisions of Article V of the Credit Agreement, and (iii) shall otherwise be as equally enduring and free from defenses as such Guarantor's liability under this Guaranty.
