Common use of Subordination of Advisory Fees Clause in Contracts

Subordination of Advisory Fees. The Borrower shall cause the advisory fees payable to the Advisor under the Advisory Agreement and any and all other similar agreements, whether written or oral, to be subordinated to the prior payment in full of the Obligations on terms and conditions reasonably satisfactory to the Agent. Neither Borrower nor REIT shall (i) amend, supplement or otherwise modify in any material respect the Advisory Agreement to impose additional obligations on the REIT without the prior written consent of the Agent (which consent shall not be unreasonably withheld) or (ii) enter into any agreement in replacement of the Advisory Agreement with an advisor without the prior written consent of the Agent (which consent shall not be unreasonably withheld), and after such approval, no such replacement management agreement shall be amended, supplemented or otherwise modified in any material respect without Agent’s prior written approval, such approval not to be unreasonably withheld, or if any such amendment, modification or supplement under (i) or (ii) would increase the fees payable under the Advisory Agreement or any replacement without the prior written consent of the Required Lenders (which consent shall not be unreasonably withheld) (it being understood that neither the Advisor’s waiver of the payment of all or any portion of the fees payable under the Advisory Agreement or any replacement, nor the termination of any such waiver, shall require the consent of Agent or any Lender); provided, however notwithstanding anything to the contrary contained herein, Agent and the Lenders hereby waive all right of prior notice, consent and approval to the Internalization (subject to the terms of the definition thereof). Agent may condition any approval of a new advisor upon the execution and delivery to Agent of a subordination of the advisor’s rights thereunder to the rights of the Agent and the Lenders under the Loan Documents in substantially the form of the Subordination of Advisory Fees executed in connection with the closing. The Advisor shall be permitted to delegate any of its responsibilities under the Advisory Agreement to other Affiliates of Advisor (who shall also be the “Advisor” under this Agreement), provided that such other Person acknowledges and agrees that its rights to compensation under the Advisory Agreement are subject to, and agrees to be bound by, the Subordination of Advisory Agreement. The Borrower shall provide prompt written notice to Agent of each such delegation together with evidence that such delegation was in compliance with the preceding sentence.

In addition, neither the Borrower nor the Trust shall enter into any agreement in replacement of the Advisory Agreement with an advisor (i) any DCT Advisor without the prior written consent of the Administrative Agent (which consent shall not be unreasonably withheld), unless such replacement agreement is on terms (taken as a whole) which are not materially less favorable to the Trust than the terms (taken as a whole) of the advisory agreement then in effect, or (ii) any Third Party Advisor without the prior written consent of the Administrative Agent and after such approvalthe Lenders (which consent shall not be unreasonably withheld). Once entered into in accordance with this Section 6.15, no such replacement management agreement shall be amended, supplemented or otherwise modified in any material respect on terms which are materially less favorable to the Trust than the terms to such replacement agreement (considering all such amendments and supplements taken as a whole) without the Administrative Agent’s prior written approval, such approval not to be unreasonably withheld, or if any such amendment, modification or supplement under (i) or (ii) would increase the fees payable under the Advisory Agreement or any replacement without the prior written consent of the Required Lenders (which consent shall not be unreasonably withheld) (it being understood that neither the Advisor’s waiver of the payment of all or any portion of the fees payable under the Advisory Agreement or any replacement, nor the termination of any such waiver, shall require the consent of Agent or any Lender); provided, however notwithstanding anything to the contrary contained herein, . The Administrative Agent and the Lenders hereby waive all right of prior notice, consent and approval to the Internalization (subject to the terms of the definition thereof). Agent may condition any approval of a new advisor Third Party Advisor upon receipt of, and the execution and delivery to Administrative Agent of may require that a subordination of the advisornew DCT Advisor provide, a document duly executed by such new Advisor which subordinates such new Advisor’s rights thereunder under the replacement agreement to the rights of the Administrative Agent and the Lenders under the Loan Documents in substantially the form of the Subordination of Advisory Fees Agreement executed in connection with the closing. The Advisor shall be permitted to delegate any of its responsibilities under the Advisory Agreement to other Affiliates of the Advisor so long as such Affiliates are also Affiliates of the Borrower (who which such other Affiliates shall also be the “Advisor” under this Agreement), provided that such other Person acknowledges and agrees that its rights to compensation under the Advisory Agreement are subject to, and agrees to be bound by, the Subordination of Advisory Agreement. The Borrower shall provide prompt written notice to the Administrative Agent of each such delegation together with evidence that such delegation was in compliance with the preceding sentence.
