Common use of Subordination of Debt Clause in Contracts

Subordination of Debt. Any present or future indebtedness of Borrower to Guarantor is hereby subordinated to the Guaranteed Obligations. Any payment of such indebtedness of Borrower to Guarantors shall be collected, enforced and received by Guarantor in trust for the benefit of Lender and promptly paid over to Lender on account of the Guaranteed Obligations, but without reducing or affecting in any manner the liability of such Guarantor under the other provisions of this Guaranty.

Subordination of Debt. Any present or future indebtedness debt of Borrower to now or hereafter held by Guarantor is hereby subordinated to the Guaranteed Obligations. Any payment of Indebtedness, and such indebtedness of Borrower to Guarantors debt, if Lender so requests, shall be collected, enforced and received by Guarantor in trust as trustee for the benefit of Lender and promptly be paid over to Lender on account of the Guaranteed ObligationsIndebtedness, but without reducing reduction or affecting in any manner the liability of such Guarantor under the other provisions of this Guaranty.

Any Guarantor agrees that, until the Obligations have been fully satisfied, it will not seek, accept or retain for its own accounts, any payment from Borrower or any of its subsidiaries on account of such indebtedness subordinated debt. Any payments to Guarantor on account of Borrower to Guarantors such subordinated debt shall be collected, enforced collected and received by Guarantor in trust for the benefit of Lender and promptly shall be paid over to Lender on account without impairing or releasing the obligations of the Guaranteed Obligations, but without reducing or affecting in any manner the liability of such Guarantor under the other provisions of this Guarantyhereunder.
