SUBORDINATION OF LEASE. This Lease shall, at Lessor's option, or at the option of any holder of any underlying lease or holder of any mortgages or trust deed, be subject and subordinate to any such underlying leases and to any such mortgages or trust deed which may now or hereafter affect the real property of which the Premises form a part, and also to all renewals, modifications, consolidations and replacements of said underlying leases and said mortgages or trust deed. Although no instrument or act on the part of Lessee shall be necessary to effectuate such subordination, Lessee will, nevertheless, execute and deliver such further instruments confirming such subordination of this Lease as may be desired by the holders of said mortgages or trust deed or by any of the lessor's under such underlying leases. Lessee hereby appoints Lessor attorney-in-fact, irrevocably, to execute and deliver any such instrument for Lessee. If any underlying lease to which this Lease is subject terminates, Lessee shall, on timely request, attorn to the owner of the reversion.

SUBORDINATION OF LEASE. SUBORDINATION OF LEASE. Although no instrument or act on the part of Lessee shall be necessary to effectuate such subordination, Lessee will, nevertheless, execute and deliver such further instruments confirming such subordination of this Lease as may be desired by the holders of said mortgages or trust deed or by any of the lessor's under such underlying leases. Lessee hereby appoints Lessor attorney-in-fact, irrevocably, to execute and deliver any such instrument for Lessee. If any underlying lease to which this Lease is subject terminates, Lessee shall, on timely request, attorn to the owner of the reversion. Lessor represents that there currently is no mortgage encumbering the Premises.

This Lease lease shall, at LessorLandlord's option, or at the option of any holder of any underlying lease ground lessee or holder of any mortgages first mortgage or deed of trust deed(the "Mortgage"), be subject and subordinate to any such underlying leases ground lease and to any such mortgages or trust deed Mortgage which may now or hereafter affect the real property of which the Demised Premises form a part, and also to all renewals, modifications, consolidations and replacements of said underlying leases ground lease(s) and said mortgages or trust deedMortgage. Although no instrument or act on the part of Lessee Tenant shall be necessary to effectuate such subordination, Lessee Tenant will, nevertheless, within five (5) days of receipt of same, execute and deliver such further instruments confirming such subordination of this Lease as may be desired by the holders holder of said mortgages or trust deed Mortgage or by any of the lessor's Landlords under such underlying leasesground lease(s). Lessee Tenant hereby appoints Lessor Landlord attorney-in-fact, irrevocably, to execute and deliver any such instrument for LesseeTenant. If any underlying lease ground lease(s) to which this Lease is subject terminatesterminates and any Mortgage superior to this Lease if foreclosed upon or otherwise sold, Lessee Tenant shall, on timely request, attorn to the owner of the reversion.

Although no instrument or act on the part of Lessee Tenant shall be necessary to effectuate such subordination, Lessee willTenant shall, nevertheless, execute and deliver such further instruments confirming such subordination of this Lease as may be desired by the holders of said mortgages such mortgages, deeds of trust, ground leases or trust deed or by any parties to such declaration of the lessor's under such underlying leasescondominium. Lessee Tenant hereby appoints Lessor Landlord its attorney-in-fact, irrevocably, to execute and deliver any such instrument for LesseeTenant. If any underlying Notwithstanding the foregoing, no such mortgage, deed of trust or ground lease to which entered into after the date hereof shall require or permit the dispossession of Tenant hereunder unless Tenant shall be in default hereunder or this Lease is subject terminates, Lessee shall, on timely request, attorn shall have been terminated pursuant to the owner of the reversionterms hereof.

If any underlying lease to which this Lease lease is subject terminates, Lessee shall, on timely request, attorn return to the owner of the reversion.

SUBORDINATION OF LEASE. This Lease shall, at Lessor's option, or at The rights of the option of any holder of any underlying Tenant under this lease or holder of any mortgages or trust deed, shall be and are subject and subordinate at all times to any such all ground leases, and/or underlying leases and to any such mortgages or trust deed which may leases, if any, now or hereafter affect in force against the real property of which the Premises form a partProperty, and also to the lien of any mortgage now or hereafter in force against such leases and/or the Property, and to all advances made or hereafter to be made upon the security thereof, and to all renewals, modifications, consolidations consolidations, replacements and replacements extensions thereof. This Section is self-operative and no further instrument of said underlying leases and said mortgages or trust deed. Although no instrument or act on the part of Lessee subordination shall be necessary to effectuate required. In confirmation of such subordination, Lessee will, nevertheless, Tenant shall promptly execute and deliver such further instruments confirming such subordination of this Lease as may be desired requested by the holders Landlord, provided Tenant receives reasonably satisfactory assurances that its tenancy will not be disturbed so long as Tenant is not in default of said mortgages or trust deed or by any of its obligations under the lessor's under such underlying leasesLease. Lessee The Tenant hereby irrevocably appoints Lessor the Landlord as attorney-in-fact, irrevocably, fact for the Tenant with full power and authority to execute and deliver in the name of the Tenant any such instrument for Lesseeor instruments. If Tenant, at the option of any underlying lease mortgagee, agrees to which this Lease is subject terminates, Lessee shall, on timely request, attorn to such mortgagee in the owner event of the reversionforeclosure sale or deed in lieu thereof.

Lessor represents that there currently is no mortgage encumbering the Building.

SUBORDINATION OF LEASE. This Lease shall, at Lessor's option, or at and the option rights of any holder of any underlying lease or holder of any mortgages or trust deed, Lessee hereunder shall be subject and remain subordinate and inferior to any such underlying leases mortgage, deed of trust or other lien (and to any such mortgages or trust deed which may all advances hereafter made in connection therewith) now or hereafter affect given by Lessor covering the real property Leased Premises provided such mortgagee agrees to recognize Lessee's rights under this Lease so long as Lessee is not in default. In the event of which a foreclosure of any such mortgage, deed of trust or other lien, such foreclosure shall not terminate the Premises Lease and the Lessee will attorn to and recognize the lienholder or its successor for the balance of the lease term, provided that, if requested by such holder or successor Lessee executes a Subordination, Attornment, Notice and Non-Disturbance Agreement reasonably satisfactory in form a part, and also substance to all renewals, modifications, consolidations and replacements of said underlying leases and said mortgages or trust deedthe holder. Although no instrument or act on the part of Lessee shall be necessary to effectuate such subordination, Lessee will, nevertheless, execute and deliver such further instruments confirming such subordination of this Lease as may be desired by necessary to confirm and ratify the holders of said mortgages or trust deed or by any subordination set forth above, but such subordination is effective as of the lessor's under such underlying leasesdate of this Lease. Lessee hereby irrevocably appoints Lessor attorney-in-factas Lessee's attorney in fact with full power and authority to execute, irrevocably, to execute acknowledge and deliver any such instrument instruments in the name and on behalf of Lessee in the event Lessee for Lessee. If any underlying lease reason fails to which this Lease is subject terminates, Lessee shall, on timely do so upon request, attorn to the owner of the reversion.

Lessor represents that there is currently a mortgage encumbering the Building and no underlying lease encumbering the Building.
