Common use of Subrogation of Rights Vis-A-Vis Third Party Contractors Clause in Contracts

Subrogation of Rights Vis-A-Vis Third Party Contractors. In the event any liability arises from the performance of the Management Services hereunder by a third party contractor, upon indemnification of a Party and/or its representatives, including but not limited to such Party’s officers, directors, employees, accountants, counsel, investment bankers, financial advisors and consultants, the other Party shall be subrogated to such rights, if any, as such indemnified Party may have against such third party contractor with respect to the Management Services provided by such third party contractor.

In the event any liability arises from the performance of the Management Services hereunder by a third party contractor, upon indemnification of a Party LICT and/or its representatives, including but not limited to such PartyLICT’s officers, directors, employees, accountants, counsel, investment bankers, financial advisors and consultants, the other Party SPINCO shall be subrogated to such rights, if any, as such indemnified Party LICT may have against such third party contractor with respect to the Management Services provided by such third party contractor.
