Subscriber Contracts. Grantee shall not enter into a contract with any Subscriber which is in any way inconsistent with the terms of this Franchise, or any Exhibit hereto, or the requirements of any applicable Customer Service Standard. Upon request, Grantee will provide to the City a sample of the Subscriber contract or service agreement then in use.
Subscriber Contracts. Grantee shall not enter into contracts with Subscribers which are inconsistent in any material sense with the requirements of this Franchise.
Subscriber Contracts. Lessor shall not interfere with the right of Lessee or its designee to lawfully modify, waive, rescind, terminate or cancel any and all services or contracts with Subscribers. In case any such services or contracts are modified, waived, rescinded, terminated or cancelled, Lessor shall not be entitled to any participation in revenues or claims whatsoever with respect to the unperformed portion of any such contract.
Subscriber Contracts. All Subscriber contracts for paging service -------------------- shall include the following provision, unless alternative language is approved by the Carrier in advance: By ordering or subscribing to paging services under this agreement, the subscriber acknowledges that paging messages may be lost or distorted for many reasons which may be difficult to determine or verify, including but not limited to weather conditions, intermittent equipment problems or equipment failures, subscriber negligence, electronic interference, etc. The subscriber also acknowledges that the damages which may result from a lost or distorted paging message are difficult to ascertain, and that the subscriber (rather than the carrier(s) providing the service) is in a better position to assure or otherwise protect itself against such damages. ACCORDINGLY, NO CARRIER OR OTHER PERSON PROVIDING, SELLING, ARRANGING OR RESELLING SERVICES ASSOCIATED WITH THIS AGREEMENT SHALL BE LIABLE FOR ANY CONSEQUENTIAL OR OTHER DAMAGES WHICH MAY RESULT FROM ANY LOST OR DISTORTED PAGING MESSAGE(S). ANY LIABILITY RELATING TO SUCH LOST OR DISTORTED MESSAGE(S) SHALL BE LIMITED TO A REFUND OF THE AMOUNT PAID BY THE SUBSCRIBER FOR SUCH PAGING SERVICE FOR THE AFFECTED PAGER FOR THE MONTH DURING WHICH THE CLAIM AROSE.
Subscriber Contracts. Grantee shall provide to City upon request any standard form subscriber contract utilized by Grantee. If no such written contract exists, Grantee shall provide a document completely and concisely stating the length and terms of the Subscriber contract offered to customers.
Subscriber Contracts. As of May 31, 2006, AKD had legal, valid, binding and enforceable Subscriber Contracts with 26,696 customers to provide wireless telephone services (of which Subscriber Contracts, 9,783 were for pre-paid wireless services and 16,913 were for post-paid wireless services). As of the Closing Date, AKD will have legal, valid, binding and enforceable Subscriber Contracts with no less than 26,696 customers to provide wireless telephone services (of which Subscriber Contracts, at least 9,783 will be for pre-paid wireless services and 16,913 will be for post-paid wireless services). The consummation of the transactions contemplated hereby will have no effect on whether each such Subscriber Contract in effect as of the Closing Date will continue to be legal, valid, binding, enforceable and in full force and effect following the Closing Date. The AKD Members have made available to GCI a true and complete copy of each general form of Subscriber Contract used by AKD (and not each Subscriber Contract with every individual customer). At the Closing, AKD shall deliver a certificate signed on behalf of AKD by an authorized person stating (i) the total number of wireless telephone subscribers of AKD, (ii) the number of subscribers for pre-paid wireless services and (iii) the number of subscribers for post-paid wireless services, in each case, as of the end of the month immediately preceding the Closing Date.
Subscriber Contracts. The Subscriber Contracts are each in substantially the same form as Exhibit E-1. Each Subscriber Contract was entered into in a bona fide transaction, is a valid and binding agreement of Seller, the performance of which by Seller does not violate any applicable Law. Seller has duly performed all of its obligations under each Subscriber Contract to the extent that such obligations to perform have accrued. To Seller’s knowledge, no material breach or material default, alleged material breach or alleged material default, or event which would (with the passage of time, notice or both) constitute a material breach or material default thereunder by Seller or, to the knowledge of Seller, any other party or obligor with respect thereto, has occurred, or as a result of this Agreement or performance hereof will occur. To Seller’s knowledge, Seller neither has received written notice nor is there a pending claim that it has breached, violated or defaulted under any Subscriber Contract, and to the knowledge of Seller there is no valid basis for any of the foregoing. Seller has not PORTIONS DENOTED WITH [***] HAVE BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT. given written notice to any other Person that such Person has breached, violated or defaulted under any Subscriber Contract, and to the knowledge of Seller there is no valid basis for any of the foregoing. Other than the Subscriber Contracts, Seller has no Liabilities with respect to the Subscribers with respect to the Music Now Service.
Subscriber Contracts. The Access Seeker must ensure that each agreement with a Subscriber for the provision of a digital Subscription Television Service and Related Service by the Access Seeker contains the following provisions, which provisions cannot be varied or waived without the prior written consent of FOXTEL or other entities in the FOXTEL Group and which provisions must be enforced by the Access Seeker if required by FOXTEL or other entities in the FOXTEL Group:
Subscriber Contracts. The length and terms of any Subscriber contract(s) shall be available for public inspection during Normal Business Hours. A list of the Grantee’s current subscriber rates and charges shall be maintained on file with the City and shall be available for public inspection. Grantee’s Subscriber contracts shall be uniform in terms and conditions applicable to each class of Subscribers and Cable Services.
