Subscriber Knowledge and Experience. The Subscriber, its advisers, if any, and designated representatives, if any, have the knowledge and experience in financial and business matters necessary to evaluate the merits and risks of its prospective investment in the Company, and have carefully reviewed and understand the risks of, and other considerations relating to, the purchase of Notes and the tax consequences of the investment, and have the ability to bear the economic risks of the investment.
