Common use of Subscriber to notify XXXX Clause in Contracts

Subscriber to notify XXXX. The Subscriber must: (a) promptly notify XXXX on becoming aware of an actual, suspected or proposed claim against the Subscriber that will or is reasonably likely to cause a claim to be made against XXXX by any person (including the Subscriber); (b) at XXXX’x expense, and upon XXXX agreeing to unconditionally indemnify the Subscriber and the Subscriber's client in respect of any such claim, do all things necessary to assign to XXXX the absolute right to conduct the defence of the claim against the Subscriber or enter into settlement discussions with the claimant against the Subscriber; and (c) at XXXX’x expense, provide XXXX with such assistance as it requires in conducting the defence of the claim or the settlement discussions, but only to the extent that such assistance does not cause a breach of the Subscriber's obligation to maintain privilege or client confidentiality.
