Common use of SUBSCRIBER’S CERTIFICATE Clause in Contracts

SUBSCRIBER’S CERTIFICATE. In addition to the covenants, representations and warranties contained in the “Subscriber’s Seed Capital Share Private Placement Subscription Agreement” of the Company, to which this Appendix “I” - “Subscriber’s Certificate” is attached, the undersigned Subscriber covenants, represents and warrants to the Company that the Subscriber is purchasing the Shares as principal, that the Subscriber is resident in the jurisdiction set out on the execution page thereof and that the Subscriber:
