Common use of Subscriber’s Legal Fees Clause in Contracts

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., a cash fee of $10,000, and a cash fee of $10,000 to Ellenoff Xxxxxxxx & Schole LLP (collectively, “Legal Fees”) as reimbursement for services rendered in connection with the transactions described in the Transaction Documents. The Legal Fees will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing by the Company for all lien searches, filing fees, and reasonable printing and shipping costs for the closing statements to be delivered to Subscribers.

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., P.C. a cash fee of $10,000, and a cash fee of $10,000 to Ellenoff Xxxxxxxx & Schole LLP 15,000 (collectively, “Legal Fees”) as reimbursement for services rendered in connection with the transactions described in the Transaction Documents. The Legal Fees will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing or Initial Closing, as the case may be, by the Company for all lien searches, filing fees, fees and reasonable printing and shipping costs for the closing statements to be delivered to the Subscribers.

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., a cash fee of $10,000, and a cash fee of $10,000 to Ellenoff Xxxxxxxx & Schole LLP 7,500 (collectively, “Cash Legal Fees”) as reimbursement for services rendered to the Subscribers in connection with this Agreement and the transactions described in purchase and sale of the Transaction DocumentsNotes (the “Offering”). The Subscribers’ Legal Fees and expenses will be payable out of funds held pursuant to the Escrow AgreementAgreement on the Closing Date. Grushko & Xxxxxxx, P.C. will be reimbursed at on the Closing by the Company Date for all lien searches, filing fees, and reasonable printing and shipping costs for the closing statements to be delivered to Subscribers.
