Common use of Subscriber’s Legal Fees Clause in Contracts

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., a fee of $13,000 (“Subscribers’ Legal Fees”) as reimbursement for services rendered to the Subscribers in connection with this Agreement and the purchase and sale of the Notes. The Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., a fee of $13,000 10,000 (“Subscribers’ Subscriber’s Legal Fees”) as reimbursement for services rendered to the Subscribers in connection with this Agreement and the purchase and sale of the NotesNotes and Warrants (the “Offering”). The Subscriber’s Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

The Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

The Subscriber’s Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers and for background checks on the senior management of the Company and Subsidiaries conducted on behalf of Subscribers.

The Subscriber’s Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

The Subscriber’s Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to SubscribersSubscriber.

The Subscriber’s Legal Fees and Subscribers’ other expenses in connection with the Offering (to the extent known as of the Closing) will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Xxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

Grushko & XxxxxxxMxxxxxx, P.C. will be reimbursed at Closing for all lien searches, filing fees, and printing and shipping costs for the closing statements to be delivered to Subscribers.

Subscriber’s Legal Fees. The Company shall pay to Grushko & Xxxxxxx, P.C., a cash fee of $13,000 20,000 (“Subscribers’ Subscriber’s Legal Fees”) as reimbursement for services rendered to the Subscribers in connection with this Agreement and the purchase and sale of the Notes. The Legal Fees and Subscribers’ other expenses in connection with the Offering (to transactions described in the extent known as of Transaction Documents. On the Closing) Closing Date, the Subscriber’s Legal Fees will be payable out of funds held pursuant to the Escrow Agreement. In addition to the Subscriber’s Legal Fees, Grushko & Xxxxxxx, P.C. will be reimbursed at Closing by the Company for all lien searches, filing fees, and reasonable printing and shipping costs for the closing statements to be delivered to Subscribers.
