Common use of Subscriber’s Legal Fees Clause in Contracts

Subscriber’s Legal Fees. The Company shall pay to Grushko & Mxxxxxx, P.C., a fee of $20,000 (“Subscriber’s Legal Fees”) as reimbursement for services rendered to the Subscribers in connection with this Agreement and the purchase and sale of the Notes and Warrants (the “Offering”). The Subscriber’s Legal Fees will be payable out of funds held pursuant to the Escrow Agreement. Grushko & Mxxxxxx, P.C. will be reimbursed at Closing for all UCC searches, filing fees, and estimated printing and shipping costs for the closing statements to be delivered to Subscribers.

Subscriber’s Legal Fees. Grushko & Mxxxxxx, P.C. will be reimbursed at on the Closing Date for all UCC lien searches, filing fees, and estimated printing and shipping costs for the closing statements to be delivered to Subscribers.
