A Subscription Escrow Agreement is a contractual arrangement that designates a neutral third party (the escrow agent) to temporarily hold subscription funds from investors until certain conditions of a transaction are met. In practice, when investors commit capital to a new offering, their funds are deposited into an escrow account rather than being immediately transferred to the issuer. The escrow agent releases the funds only after specified requirements—such as reaching a minimum investment threshold or regulatory approvals—are satisfied. SUBSCRIPTION ESCROW AGREEMENT. The Company will enter into a subscription escrow agreement (the “Escrow Agreement”) with the Dealer Manager and the Escrow Agent, substantially in the form included as an exhibit to the Registration Statement. The Company will comply with the terms and conditions of the Escrow Agreement in all material respects.
