Subscription Receipt Private Placement and Issuance of Common Shares. Corridor shall issue and sell a minimum of 21,739,130 and a maximum of 32,608,696 Subscription Receipts at a price of $0.92 per Subscription Receipts for a minimum aggregate gross proceeds of $20 million and a maximum aggregate gross proceeds of $30 million (the "Subscription Receipt Private Placement") pursuant and subject to the terms of the Agency Agreement and the Subscription Receipt Agreement.
