Common use of Subservicer Clause in Contracts

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the a Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the a Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB. With respect to Countrywide Servicing, "Subservicer" shall have the meaning set forth in the Countrywide Amendment Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the a Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the a Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Company under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or SubcontractorsSubservicers) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB. Any Subservicer shall meet the qualifications set forth in Section 4.01.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person in the sole determination of the Servicer that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation ABAB that are required to be performed by the Company under this Agreement or any Reconstitution Agreement, provided that this term shall not include the Purchaser, an affiliate of the Purchaser or originators of Mortgage Loans acquired by the Company from the Purchaser or an affiliate of the Purchaser.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any applicable Reconstitution Agreement related thereto that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Special Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Special Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of a Servicer or the Servicer Countrywide Servicer, as applicable, or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the a Servicer under this AgreementAgreement or by the Countrywide Servicer pursuant to the CHL Agreements, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services the Mortgage Loans on behalf of the Servicer or any Subservicer Subcontractor and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer a Servicer, and is responsible for the performance (whether directly or through Subservicers subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some any related Servicing Agreement or all of the Mortgage Loans, any sub-servicing agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Seller, the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the a Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the a Servicer under this Agreement, Agreement with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB. With respect to Countrywide Servicing, "Subservicer" shall have the meaning set forth in the Countrywide Amendment Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Master Servicer, the Servicer or any Subservicer and is responsible for Subservicer, performing the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion majority of the material servicing functions required to be performed by the Master Servicer or the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company (as servicer under a Reconstitution Agreement) or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Company under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation ABAB that are required to be performed by the Company under this Agreement or any Reconstitution Agreement.

Subservicer. Any Person (determined solely by the Servicer in compliance with Regulation AB) that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person (determined solely by the Servicer) that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for Subservicer, performing the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion majority of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation ABAB that are required to be performed by the Company under this Agreement or any Reconstitution Agreement, provided that this term shall not include the Owner, an affiliate of the Owner or originators of Mortgage Loans acquired by the Company from the Owner or an affiliate of the Owner.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or the Countrywide Servicer, as applicable, or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this AgreementAgreement or by the Countrywide Servicer pursuant to the CHL Agreements, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Servicer, the Countrywide Servicer, as applicable, or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement or by the Countrywide Servicer pursuant to the Countrywide Servicing Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer Servicer, and is responsible for the performance (whether directly or through Subservicers subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any subservicing agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services the Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Company under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB. Any Subservicer shall meet the qualifications set forth in Section 4.01.

Subservicer. Any Person person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the a Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the a Servicer under this Agreement, Agreement with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person entity that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Company under this Agreement, with respect to some or all of the Mortgage Loans, letter agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person person that services Mortgage Loans or REO Properties on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Custodian or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Custodian under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation ABAB that are required to be performed by the Seller under this Agreement or any Reconstitution Agreement.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer Seller under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer Servicer, and is responsible for the performance (whether directly or through Subservicers subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some the Servicing Agreement or all of the Mortgage Loans, any sub-servicing agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the applicable Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the applicable Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that (i) is considered to be a Servicing Function Participant, (ii) services Mortgage Loans on behalf of the any Servicer or any Subservicer Additional Servicer, and (iii) is responsible for the performance (whether directly or through Subservicers subservicers or Subcontractors) of a substantial portion of the material servicing Servicing functions required to be performed by the Servicer under this Agreement, with respect to some any related Servicing Agreement or all of the Mortgage Loans, any subservicing agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Specified Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB. Tax Service Contract: A life-of-loan tax service contract maintained for the Mortgaged Property with a tax service provider for the purpose of obtaining current information from local taxing authorities relating to such Mortgaged Property.

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer Company or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some or all of the Mortgage Loans, that are identified in Item 1122(d) of Regulation AB.or

Subservicer. Any Person that services Mortgage Loans on behalf of the Servicer or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Servicer under this Agreement, with respect to some the Agreement or all of the Mortgage Loans, any Reconstitution Agreement that are identified in Item 1122(d) of Regulation AB.
