Common use of Subsidiaries, associations and branches Clause in Contracts

Subsidiaries, associations and branches. No Group Company: (a) Holds or beneficially owns or has agreed to acquire any securities of any other company, other than another Group Company; (b) Is, or has agreed to become, a member of any partnership (whether incorporated or unincorporated) or other unincorporated association, joint venture or consortium; (c) Has any branch or any established place of business outside of its place of incorporation; or (d) Has any subsidiary other than another Group Company.

Subsidiaries, associations and branches. No Group Company: (a) Holds No Group Company holds or beneficially owns or has agreed to acquire any securities of any other company, trust or entity other than another Group Company;. (b) IsNo Group Company has any interest in, or has agreed to becomeacquire, any share capital or other security or interest of any other body corporate other than the Subsidiaries, nor has any interest in or has agreed to become a member of any partnership (whether incorporated or unincorporated) or other unincorporated association, joint venture or consortium; consortium (c) Has any branch or any established place of business outside of its place of incorporation; or (d) Has any subsidiary other than another Group Companyrecognised trade associations).

No Group Company: (a) Holds holds or beneficially owns or has agreed to acquire any securities of any other company, company other than another Group Company;; or (b) Isis, or nor has agreed to become, a member of any partnership (whether incorporated or unincorporated) or other unincorporated association, joint venture or consortium;consortium (other than recognised trade associations); or (c) Has has outside the United Kingdom any branch or any established place permanent establishment (as that expression is defined in the respective Double Taxation Relief Orders current at the date of business outside of its place of incorporation; or (dthis agreement) Has any subsidiary other than another Group Company.

No Group Company: (a1) Holds holds or beneficially owns or has agreed to acquire any securities or loan capital of any other companycorporation (whether incorporated in the United Kingdom or elsewhere), other than another shares of a Group Company;; or (b2) Isis, or has agreed to become, a member of any partnership (whether incorporated or unincorporated) or other unincorporated association, joint venture or consortium; consortium (c) Has any branch or any established place of business outside of its place of incorporationother than recognised trade associations); or (d3) Has has any subsidiary other than another Group Companyassets or any branch, agency or permanent establishment (as that expression is defined in the respective double tax relief orders current at the Signing Date) outside the United Kingdom.
