SUBSIDIARIES; INVESTMENTS IN OTHER PERSONS. Between the date of this Agreement and the Closing, none of the Stockholders, the Company nor the LLC will take any action to acquire, form or otherwise establish any subsidiary of the Company or the LLC or cause the Company or the LLC to make any investment in any other Person.

Between the date of this Agreement and the Closing, none of the Stockholders, the Company nor the LLC Sellers will take any action to acquire, form or otherwise establish any direct or indirect subsidiary of the Company or the LLC or cause the Company or the LLC to make any investment in any other Person.

SUBSIDIARIES; INVESTMENTS IN OTHER PERSONS. Between the date of this Agreement and the Closing, none of the Stockholders, the Company nor the LLC will take any action to acquire, form or otherwise establish any subsidiary of the Company or the LLC or cause the Company or the LLC to make any investment in in, or otherwise conduct business through, any other Person.

SUBSIDIARIES; INVESTMENTS IN OTHER PERSONS. Between the date of this Agreement and the Closing, none of the Majority Stockholders, the Company nor the LLC will take any action to acquire, form or otherwise establish any subsidiary of the Company or the LLC or cause the Company or the LLC to make any investment in any other Person, except that the Company may form and invest in new Private Funds consistent with past practices and on substantially the same terms and conditions as currently in effect for the Private Funds existing as of the date of this Agreement.
