Subsidiary Incumbency Certificates. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each other Subsidiary of the Borrower which is a party to a Loan Document, dated the Closing Date, as to the incumbency and signature of the officers of such Subsidiary, satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each other Subsidiary of the Borrower which is a party to a Loan DocumentParty, dated the Closing Tranche B Effective Date, as to the incumbency and signature of the officers of such SubsidiarySubsidiaries executing any Loan Document in connection with this Amendment, which certificate shall be reasonably satisfactory in form and substance to the Administrative Agent, Agent and shall be executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each other Domestic Subsidiary of the Borrower Borrowers which is a party to a Loan DocumentCredit Party, dated the Closing Date, as to the incumbency and signature of the officers of such SubsidiarySubsidiaries executing any Loan Document or any Hedging Agreement being executed on the Closing Date, satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Domestic Subsidiary.

The Administrative Agent shall have received, with a counterpart copy for each Lender, a certificate of each other Subsidiary of the each Parent Borrower which is a party to a Loan DocumentParty, dated the Closing Date, as to the incumbency and signature of the officers of each such SubsidiarySubsidiary executing any Loan Document, which certificate shall be satisfactory in form and substance to the Administrative Agent, Agent and shall be executed by the President or any Vice President and the Secretary or any Assistant Secretary (or other appropriate officer) of each such Subsidiary.

The Administrative Agent shall have received, with a counterpart for each Lender, received a certificate of each other Subsidiary of the Borrower which is a party to a Loan DocumentParty (as defined in the Existing EPNHC Credit Agreement), dated the Original Closing Date, as to the incumbency and signature of the officers of such SubsidiarySubsidiary executing any Loan Document (as defined in the Existing EPNHC Credit Agreement), satisfactory in form and substance to the Administrative Agent, executed by the President Chief Executive Officer, Chief Operating Officer, Chief Financial Officer, President, Treasurer or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Administrative Agent shall have received, with and each Lender shall have received a counterpart for each Lendercopy thereof substantially concurrently therewith, a certificate of each other Subsidiary of the Borrower which that is a party to a Loan DocumentParty, dated the Closing such Borrowing Date, as to the incumbency and signature of the officers of each such SubsidiarySubsidiary executing any Loan Document to be delivered on such Borrowing Date, reasonably satisfactory in form and substance to the Administrative Agent, and executed by the President or any Vice President and the Secretary or any an Assistant Secretary of each such Subsidiary.
