SUBSIDIARY MANAGEMENT AGREEMENTS. Mezzanine Borrower shall not permit Mortgage Borrower to, without first obtaining Mezzanine Lender's prior written consent, which consent shall not be unreasonably withheld, amend, change, supplement or modify any material term of the Subsidiary Management Agreements in any manner that could adversely affect the Mezzanine Lender.
