Substitutions and Reinvestments. (b) The provisions of subsection (a) of this Section 4.02 notwithstanding, upon the initial deposit of funds sufficient to effect the defeasance of the Defeased Bonds as a result of a failure by the Issuer to cause to be delivered all or any portion of the Escrowed Securities concurrently with the initial deposit with the Escrow Agent, the Escrow Agent, at the written direction of the Issuer, shall invest such initial deposit of funds in Escrowed Securities designated in writing by the Issuer, provided that the Issuer delivers to the Escrow Agent the following:
(1) an opinion by an independent certified public accountant that after such investment the principal amount of the securities in the Escrow Fund, together with the interest thereon and other available moneys, will be sufficient to pay, without further investment or reinvestment, as the same become due in accordance with the Report, the principal of, interest on and premium, if any, on the Defeased Bonds which have not previously been paid, and
(2) an unqualified opinion of nationally recognized municipal bond counsel to the effect that (a) investment will not cause the Defeased Bonds to be "arbitrage bonds" within the meaning of section 103 of the Code or the regulations thereunder in effect on the date of such investment, or otherwise make the interest on the Defeased Bonds subject to federal income taxation, and (b) such investment complies with the Constitution and laws of the State of Texas and with all relevant documents relating to the issuance of the Defeased Bonds. Any cash remaining in the Escrow Fund after effecting the investment of initial cash balances in Escrowed Securities as directed by the Issuer shall be transferred to the Issuer in the manner and in accordance with the instructions directing the investment of the initial cash balances.
(c) The Escrow Agent shall have no responsibility or liability for loss or otherwise with respect to investments made at the direction of the Issuer.
