Succession and Assignment. This Agreement shall will be binding upon and inure to the benefit of the parties Parties named herein and their respective successors and permitted assigns. No party Party hereto may assign either this Agreement or any of its rights, interests or obligations hereunder without the prior written approval approval, in the case of Parent and assignment by the Buyer, by the Company, and, in the case of assignment by the Company, the Buyer.
