Successor Corporation Substituted. Upon any consolidation with or merger into any other corporation, or any conveyance, transfer or lease of the properties and assets of the Company substantially as an entirety in accordance with Section 10.01, the successor corporation formed by such consolidation or into which the Company is merged or to which such conveyance, transfer or lease is made shall succeed to, and be substituted for, and may exercise every right and power of, the Company under this Indenture with the same effect as if such successor corporation had been named as the Company herein.

Upon any consolidation with or merger into any other corporation, or any conveyanceconveyance or other transfer, transfer or lease subject to the Lien of this Indenture, of all of the properties and assets of the Company Mortgaged Property as or substantially as an entirety in accordance with Section 10.0113.01, the successor corporation formed by such consolidation or into which the Company is merged or to which such conveyance, transfer or lease is made Successor Corporation shall succeed to, and be substituted for, and may exercise every power and right and power of, the Company under this Indenture with the same effect as if such successor corporation Successor Corporation had been named as the Company “Company” herein.. Without limiting the generality of the foregoing:

Successor Corporation Substituted. Upon any consolidation with of the Company with, or merger into of the Company into, any other corporation, Person or any conveyance, transfer or lease lease, subject to the Lien of this Indenture, of the properties and assets of the Company Mortgaged Property as or substantially as an entirety in accordance with Section 10.011301, the successor corporation Successor Corporation formed by such consolidation or into which the Company is merged or to which such conveyance, transfer or lease is made shall succeed to, and be substituted for, and 111 may exercise every right and power of, the Company under this Indenture with the same effect as if such successor corporation Successor Corporation had been named as the Company herein.. Without limiting the generality of the foregoing:

Successor Corporation Substituted. Upon any consolidation with or merger into any other corporationmerger, or any conveyancesale, transfer assignment, transfer, conveyance or lease other disposition of all or substantially all of the properties and assets of the Company substantially as an entirety in accordance with Section 10.015.01 hereof, the successor corporation formed by such consolidation or into or with which the Company is merged or to which such conveyancesale, transfer assignment, transfer, conveyance or lease other disposition is made shall succeed to, and be substituted forfor (so that from and after the date of such consolidation, merger, sale, assignment, conveyance or other disposition, the provisions of this Indenture referring to the “Company” will refer instead to the successor corporation and not to the Company), and may exercise every right and power of, the Company under this Indenture with the same effect as if such successor corporation Person had been named as the Company hereinin this Indenture.

Successor Corporation Substituted. Upon any consolidation with or merger into any other corporation, or any conveyance, transfer of all or lease substantially all of the properties and assets of the Company substantially as an entirety in accordance with Section 10.01the foregoing, the successor corporation formed by such consolidation or into which the Company is merged or to which such conveyance, transfer or lease is made shall succeed to, and be substituted for, and may exercise every right and power of, the Company under this the Indenture with the same effect as if such successor corporation had been named therein as the Company, and the Company hereinthereafter will be released from its obligations under the Indenture and the Notes, except as to any obligations that arise from or as a result of such transaction.

Upon any consolidation or merger by the Company with or merger into any other corporation, corporation or any conveyance, transfer or lease of the properties and assets of the Company substantially as an entirety in accordance with Section 10.01, the successor corporation formed by such consolidation or into which the Company is merged or to which such conveyance, transfer or lease is made shall succeed to, and be substituted for, and may exercise every right and power of, the Company under this Indenture Debenture with the same effect as if such successor corporation had been named as the Company herein, and thereafter, except in the case of a lease, the predecessor corporation shall be relieved of all obligations and covenants hereunder.

Successor Corporation Substituted. In the event of any such conveyance or transfer, the Company as the predecessor corporation may be dissolved, wound up or liquidated at any time thereafter. ARTICLE NINE

Without limiting the generality of the foregoing:

Upon any consolidation with or merger into any other corporationmerger, or any sale, conveyance, transfer transfer, lease or lease other disposition of all or substantially all of the properties property and assets of the Company substantially as an entirety Holdings in accordance with Section 10.015.1 of this Indenture, the successor corporation formed by such consolidation or into which the Company Holdings is merged or to which such sale, conveyance, transfer transfer, lease or lease other disposition is made shall succeed to, and be substituted for, and may exercise every right and power of, the Company Holdings under this Indenture with the same effect as if such successor corporation had been named as the Company Holdings herein.

Successor Corporation Substituted. Upon any consolidation with or merger into any other corporationmerger, or any conveyancesale, transfer or lease other disposition of all or substantially all of the properties and assets of the Company substantially as an entirety in accordance with Section 10.0112.01 hereof, the successor corporation formed by such consolidation or into which the Company is merged or to which such conveyancesale, transfer or lease other disposition is made shall succeed to, and be substituted for, for and may exercise every right and power of, the Company under this Indenture with the same effect as if such successor corporation had been named as the Company hereinherein and the Company shall be released from all obligations hereunder.

In the event of any such conveyance or transfer, the Company as the predecessor corporation may be dissolved, wound up or liquidated at any time thereafter. ARTICLE NINE
