Common use of Successor Sub-Servicers Clause in Contracts

Successor Sub-Servicers. The Master Servicer shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or the Trustee (if the Trust Administrator is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust Administrator, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

Successor Sub-Servicers. The Master Servicer shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. Any Each Sub-Servicing Agreement Agreement, if any, shall include the provision that such agreement may be immediately terminated by the Trust Administrator any successor Master Servicer without cause and without payment of any fee or the Trustee (if the Trust Administrator is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, penalty in the event that the Master Servicer (or the Trust Administrator, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer by reason of an Event of Default). Any Sub-Servicing Agreement entered into by the Master Servicer shall include the provision that such agreement may be immediately terminated without cause and without any termination fee by any successor Master Servicer hereunder.

The Master Servicer or the Certificate Insurer shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Sub- Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement (other than any Initial Sub-Servicing Agreement) shall include the provision that such agreement may be immediately terminated by the Trust Administrator Indenture Trustee or the Trustee (if the Trust Securities Administrator is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust Administrator, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or the Indenture Trustee (if the Trust Administrator Indenture Trustee is acting as Master Servicer) without fee, in accordance with the terms of this Servicing Agreement, in the event that the Master Servicer (or the Trust AdministratorIndenture Trustee, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

Successor Sub-Servicers. The Master Servicer shall be entitled to terminate any Sub-Servicing Sub‑Servicing Agreement and the rights and obligations of any Sub-Servicer Sub‑Servicer pursuant to any Sub-Servicing Sub‑Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Sub‑Servicing Agreement. In the event of termination of any Sub-ServicerSub‑Servicer, all servicing obligations of such Sub-Servicer Sub‑Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer Sub‑Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Sub‑Servicing Agreement with a successor Sub-Servicer Sub‑Servicer which qualifies under Section 3.02. Any Sub-Servicing Sub‑Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or the Trustee (if the Trust Administrator is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, and the Trustee shall so terminate such Sub‑Servicing Agreement in the event that the Master Servicer (or the Trust AdministratorTrustee, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

Successor Sub-Servicers. The Master Servicer Servicer, with the consent of the NIMS Insurer or the Guarantor as provided in Section 1.04, shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. The Guarantor or the NIMS Insurer, as provided in Section 1.04, subject, in the case of the Special Sub-Servicing Agreement, to the specific events of default set forth therein, shall have the right to direct the Master Servicer (at the Master Servicer's expense) to terminate any Sub-Servicer that (i) having previously been an approved Xxxxxxx Mac Seller/Servicer, no longer has such approval or (ii) at the Guarantor's reasonable request. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Sub- Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator Master Servicer or the Trustee (if the Trust Administrator Trustee is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust Administrator, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).Master

Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or the Trustee (if the Trust Administrator or the Trustee is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust AdministratorAdministrator or the Trustee, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

The Master Servicer Servicer, with the consent of the Certificate Insurer, shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or Servicer, the Trustee Master Servicer (if the Trust Administrator Master Servicer is acting as Master Servicersuccessor servicer) or the Certificate Insurer without feethe payment of any fees, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust AdministratorTrustee, if it such party is then acting as Master Servicersuccessor servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of DefaultTermination).

In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Sub- Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Master Servicer, the Trust Administrator or (if the Master Servicer is the Servicer), the Trustee (if the Trust Administrator is acting as Master Servicer) or the Certificate Insurer without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Master Servicer or Trust Administrator, if it such party is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

The Master Servicer or the Certificate Insurer shall be entitled to terminate any Sub-Sub- Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Sub- Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Sub- Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or Administrator, the Trustee (if the Trust Administrator is acting as Master Servicer) or the Certificate Insurer without fee, in accordance with the terms of this Agreement, in the event that the Master Servicer (or the Trust Administrator, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).

Successor Sub-Servicers. The Master Servicer Servicer, with the written consent of the Guarantor, shall be entitled to terminate any Sub-Servicing Agreement and the rights and obligations of any Sub-Servicer pursuant to any Sub-Servicing Agreement in accordance with the terms and conditions of such Sub-Servicing Agreement. In the event of termination of any Sub-Servicer, all servicing obligations of such Sub-Servicer shall be assumed simultaneously by the Master Servicer without any act or deed on the part of such Sub-Servicer or the Master Servicer, and the Master Servicer either shall service directly the related Mortgage Loans or shall enter into a Sub-Servicing Agreement with a successor Sub-Servicer which qualifies under Section 3.02. Any Sub-Servicing Agreement shall include the provision that such agreement may be immediately terminated by the Trust Administrator or the Trustee (if the Trust Administrator is acting as Master Servicer) without fee, in accordance with the terms of this Agreement, and the Trustee shall be entitled to so terminate such Sub-Servicing Agreement in the event that the Master Servicer (or the Trust AdministratorTrustee, if it is then acting as Master Servicer) shall, for any reason, no longer be the Master Servicer (including termination due to a Master Servicer Event of Default).
