Common use of SUCCESSOR TRANSFER AGENT Clause in Contracts

SUCCESSOR TRANSFER AGENT. Any legal entity into which the Transfer Agent may be merged or converted or with which it may be consolidated, or any legal entity resulting from any merger, conversion or consolidation to which the Transfer Agent shall be a party, or any legal entity succeeding to the corporate trust business of the Transfer Agent, shall be the successor to the Transfer Agent hereunder without the execution or filing of any paper or any further act of a party or the parties hereto provided such legal entity is eligible to be appointed under Section 25 below. In any such event or if the name of the Transfer Agent is changed, the Transfer Agent or such successor may adopt the countersignature of the original Transfer Agent and may countersign such Warrant or Unit Certificates either in the name of the predecessor Transfer Agent or in the name of the successor Transfer Agent.
