This Agreement shall be binding upon and inure to the benefit of the parties’ respective successors and assigns; provided, however, that Tenant may not assign its rights or delegate its duties under this Agreement without the prior written consent of Landlord, in Landlord’s sole and absolute discretion. Landlord may assign its rights and/or delegate its duties under this Agreement without the consent of Tenant.
