Successors and Assigns; Governing Law. This Security Agreement and all obligations of IXC hereunder shall be binding upon the successors and assigns of IXC, and shall, together with the rights, obligations and remedies of the Secured Party hereunder inure to the benefit of and be binding upon the successors and assigns of the Secured Party. This Security Agreement shall be governed by, and be construed and interpreted in accordance with, the laws of the State of Delaware.
