Common use of Successors and Assigns; Governing Law Clause in Contracts

Successors and Assigns; Governing Law. This Security Agreement and all of your obligations hereunder shall be binding upon your successors and assigns, and shall, together with our rights and remedies hereunder, inure to our benefit and our successors and assigns. However, none of your rights or obligations under this Security Agreement may be assigned without our prior written permission. This Security Agreement shall be governed by, and be construed and interpreted in accordance with the laws of the State of New York.
