Successors and Assigns; Third Party Rights. (a) This Agreement shall bind and inure to the benefit of the respective successors and assigns of the parties hereto, except that: (i) GRANTOR may not assign or otherwise transfer all or any part of its rights or obligations hereunder without the prior written consent of each GRANTEE; and (ii) GRANTEE may not assign or otherwise transfer all or any part of its rights or obligations hereunder without the prior written consent of GRANTOR. (b) None of the terms of this Agreement are intended to be enforceable by any third party.
