Common use of Successors; Counterparts; Beneficiaries Clause in Contracts

Successors; Counterparts; Beneficiaries. This Agreement (i) shall be binding as to the executors, administrators, estates, heirs and legal successors of the Partners and (ii) may be executed in several counterparts with the same effect as if the parties executing the several counterparts had all executed one counterpart. Except as otherwise set forth in Section 8.01(a), no provision of this Agreement is intended to confer upon any Person other than the parties hereto any rights or remedies hereunder.

The signature page attached to the subscription agreement for the Company shall constitute a counterpart of this Agreement. Except as otherwise set forth in Section 8.01(a)6.01., no provision of this Agreement is intended to confer upon any Person person other than the parties hereto any rights or remedies hereunder.
