Sufficiency of the Acquired Company Assets. Except as otherwise set forth in this Agreement (including the Reorganization Transactions), to the Seller’s Knowledge, the Acquired Company Assets constitute all of the assets (excluding Rights of Way), taken as a whole, that generated the financial results reflected in the financial information contained in Schedules 4(l)(i) and 4(l)(ii) and attributable to the twelve months ending December 31, 2004 and the five months ending May 31, 2005.
