Common use of Suits and Claims Clause in Contracts

Suits and Claims. Except as set forth in Schedule 5.1(e), there is no suit or action by any person, entity or Governmental Authority pending in any legal, administrative or arbitration proceeding or, to Seller’s Knowledge, threatened against Seller or the Assets that could reasonably be expected to materially affect Seller’s ability to consummate the transactions contemplated herein or title to, use of or the value of any of the Assets.

Suits and Claims. Except as set forth in Schedule 5.1(e), there is no suit or action by any person, entity or Governmental Authority (as defined in Section 7.2(b)) pending in any legal, administrative or arbitration proceeding or, to Seller’s Knowledge, threatened against Seller or the Assets that could reasonably be expected to materially affect Seller’s ability to consummate the transactions contemplated herein or title to, use of or the value of any of the Assets.

Suits and Claims. Except as set forth in Schedule 5.1(e6.01(f), there is no suit suit, action, written claim or action proceeding by any person, person or entity or by any administrative agency or Governmental Authority pending against any of the Target Entities in any legal, administrative or arbitration proceeding or, to Seller’s Knowledgeknowledge, threatened against Seller or the Assets any Target Entity that could reasonably be expected to will materially affect Seller’s ability to consummate the transactions contemplated herein or that could affect the title to, use of or the operations or value of any of of, the Securities or the Assets.
