Common use of Suits and Claims Clause in Contracts

Suits and Claims. No suit, action, claim, or other proceeding is now pending or, to Seller’s knowledge, threatened before any court or governmental agency which might result in the impairment or loss of any of Seller’s title to the Properties and Seller shall promptly notify Buyer of any such proceeding which arises or is threatened prior to the Closing Date.

No Seller represents and warrants that no suit, action, claim, or other proceeding is now pending or, to Seller’s knowledge, threatened before any court or governmental agency which might result in affecting the impairment or loss of any of Seller’s title to the Properties and Assets. Seller shall promptly notify Buyer of any such proceeding which arises or is threatened prior to the Closing Date.
