Common use of Supplement to Titling Trust Servicing Agreement Clause in Contracts

Supplement to Titling Trust Servicing Agreement. (a) Pursuant to Section 5.13 of the Titling Trust Agreement, each of the Titling Trust, Harco Leasing, NFC, NFRRC and the Issuer hereby appoints NFC as the Servicer with respect to the Series 2003-A Portfolio Interest and the Series 2003-A Portfolio Assets, to serve in accordance with, and subject to, the terms of the Titling Trust Servicing Agreement, this Agreement and the other Basic Documents. (b) The Servicer shall account to the Series 2003-A Portfolio Trustee, the Issuer and the Indenture Trustee with respect to the Series 2003-A Portfolio Interest separately from any other Portfolio Interests. (c) This Agreement shall constitute a "Portfolio Servicing Agreement Supplement" under the Titling Trust Servicing Agreement with respect to the Series 2003-A Portfolio Interest and the Series 2003-A Portfolio Assets. Except as otherwise specifically provided herein or in the other Basic Documents, the parties to the Titling Trust Servicing Agreement shall continue to be bound by all provisions of the Titling Trust Servicing Agreement with respect to the Series 2003-A Portfolio Interest and the Series 2003-A Portfolio Assets, including the provisions of Article III thereof relating to the administration and servicing of the Retail Leases. To the extent that the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) are not directly inconsistent with the provisions set forth herein, the provisions of the Titling Trust Servicing Agreement shall be made a part of this Agreement and shall govern the servicing of the Series 2003-A Portfolio Interest and the Series 2003-A Portfolio Assets. However, in the event of any conflict between the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) and the provisions set forth herein or in any other Basic Document, the provisions set forth herein or in such other Basic Document shall prevail. (d) For purposes of determining the Servicer's obligations with respect to the servicing of the Series 2003-A Portfolio Interest and the Series 2003-A Portfolio Assets under this Agreement, general references in the Titling Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 2003-A Portfolio Interest; (ii) a Portfolio Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 2003-A Portfolio Supplement. (e) The Servicer shall perform the obligations specified for it in the Series 2003-A Portfolio Supplement.

Except as otherwise specifically provided herein or in the other Basic Documents, the parties to the Titling Trust Servicing Agreement shall continue to be bound by all provisions of the Titling Trust Servicing Agreement with respect to the Series 2003-A B Portfolio Interest and the Series 2003-A B Portfolio Assets, including the provisions of Article III thereof relating to the administration and servicing of the Retail Leases. To the extent that the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) are not directly inconsistent with the provisions set forth herein, the provisions of the Titling Trust Servicing Agreement shall be made a part of this Agreement and shall govern the servicing of the Series 2003-A B Portfolio Interest and the Series 2003-A B Portfolio Assets. However, in the event of any conflict between the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) and the provisions set forth herein or in any other Basic Document, the provisions set forth herein or in such other Basic Document shall prevail. (d) For purposes of determining the Servicer's obligations with respect to the servicing of the Series 2003-A B Portfolio Interest and the Series 2003-A B Portfolio Assets under this Agreement, general references in the Titling Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 2003-A B Portfolio Interest; (ii) a Portfolio Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 2003-A B Portfolio Supplement. (e) The Servicer shall perform the obligations specified for it in the Series 2003-A B Portfolio Supplement.

(c) This Agreement shall constitute a "“Portfolio Servicing Agreement Supplement" ” under the Titling Trust Servicing Agreement with respect to the Series 20032006-A ARC Portfolio Interest and the Series 20032006-A ARC Portfolio Assets. Except as otherwise specifically provided herein or in the other Basic Documents, the parties to the Titling Trust Servicing Agreement shall continue to be bound by all provisions of the Titling Trust Servicing Agreement with respect to the Series 20032006-A ARC Portfolio Interest and the Series 20032006-A ARC Portfolio Assets, including the provisions of Article III thereof relating to the administration and servicing of the Retail Leases. (d) For purposes of determining the Servicer's ’s obligations with respect to the servicing of the Series 20032006-A ARC Portfolio Interest and the Series 20032006-A ARC Portfolio Assets under this Agreement, general references in the Titling Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 20032006-A ARC Portfolio Interest; (ii) a Portfolio Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 20032006-A ARC Portfolio Supplement. (e) The Servicer shall perform the obligations specified for it in the Series 20032006-A ARC Portfolio Supplement.

(e) The Servicer shall perform the obligations specified for it in the Series 20032004-A Portfolio Supplement.

(c) This Agreement shall constitute a "Portfolio Servicing Agreement ----------------------------- Supplement" under the Titling Trust Servicing Agreement with respect to the ---------- Series 2003-A 200 Portfolio Interest and the Series 2003-A 200 Portfolio Assets. Except as - - otherwise specifically provided herein or in the other Basic Documents, the parties to the Titling Trust Servicing Agreement shall continue to be bound by all provisions of the Titling Trust Servicing Agreement with respect to the Series 2003-A 200 Portfolio Interest and the Series 2003-A 200 Portfolio Assets, including - - the provisions of Article III thereof relating to the administration and ----------- servicing of the Retail Leases. To the extent that the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) are not directly inconsistent with the provisions set forth herein, the provisions of the Titling Trust Servicing Agreement shall be made a part of this Agreement and shall govern the servicing of the Series 2003-A 200 Portfolio - Interest and the Series 2003-A 200 Portfolio Assets. However, in the event of any - conflict between the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) and the provisions set forth herein or in any other Basic Document, the provisions set forth herein or in such other Basic Document shall prevail. (d) For purposes of determining the Servicer's obligations with respect to the servicing of the Series 2003-A 200 Portfolio Interest and the Series 2003-A - 200 Portfolio Assets under this Agreement, general references in the Titling - Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 2003-A 200 Portfolio Interest; (ii) a Portfolio - Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 2003-A 200 Portfolio Supplement.. - (e) The Servicer shall perform the obligations specified for it in the Series 2003200 Portfolio Interest. -A Portfolio Supplement.

Except as otherwise specifically provided herein or in the other Basic Documents, the parties to the Titling Trust Servicing Agreement shall continue to be bound by all provisions of the Titling Trust Servicing Agreement with respect to the Series 20032005-A Portfolio Interest and the Series 20032005-A Portfolio Assets, including the provisions of Article III thereof relating to the administration and servicing of the Retail Leases. (d) For purposes of determining the Servicer's ’s obligations with respect to the servicing of the Series 20032005-A Portfolio Interest and the Series 20032005-A Portfolio Assets under this Agreement, general references in the Titling Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 20032005-A Portfolio Interest; (ii) a Portfolio Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 20032005-A Portfolio Supplement. (e) The Servicer shall perform the obligations specified for it in the Series 20032005-A Portfolio Supplement.

However, in the event of any conflict between the provisions of the Titling Trust Servicing Agreement (as expressly amended, supplemented or waived by this Agreement) and the provisions set forth herein or in any other Basic Document, the provisions set forth herein or in such other Basic Document shall prevail. (d) For purposes of determining the Servicer's obligations with respect to the servicing of the Series 20032002-A B Portfolio Interest and the Series 20032002-A B Portfolio Assets under this Agreement, general references in the Titling Trust Servicing Agreement to: (i) a Portfolio Interest shall be deemed to refer more specifically to the Series 20032002-A B Portfolio Interest; (ii) a Portfolio Servicing Agreement Supplement shall be deemed to refer more specifically to this Agreement; and (iii) a Portfolio Supplement shall be deemed to refer more specifically to the Series 20032002-A B Portfolio Supplement. (e) The Servicer shall perform the obligations specified for it in the Series 20032002-A B Portfolio Supplement.
