Common use of Supplemental Retirement Plan Service and Compensation Credit Clause in Contracts

Supplemental Retirement Plan Service and Compensation Credit. If the Executive is a participant in the Company's Supplemental Executive Retirement Plan (or any successor thereto) (the "SERP"), for purposes of determining the Executive's credited service and benefits due under the SERP (which service credits and benefits shall be determined without giving effect to any amendments to the SERP subsequent to a Change in Control that would constitute Good Reason), the Executive shall be (a) credited with an additional three years of employment service with the Company, and (b) deemed to receive for each such year base pay and incentive compensation in an amount equal to the Executive's Base Pay and Annual Bonus.
