Common use of Supplemental Ruling Clause in Contracts

Supplemental Ruling. Prior to entering into any agreement contemplating a transaction described in clauses (i), (ii), (iii) or (iv) of Section 5.06(a) and prior to consummating any such transaction, Newco shall request that Viad obtain a Supplemental Ruling in accordance with Section 5.7(b) of this Agreement to the effect that such transaction will not affect the Tax-Free Status of the Reorganization and Viad shall have received such a Supplemental Ruling in form and substance satisfactory to Viad in its sole and absolute discretion.
