Common use of Supplementary Material Clause in Contracts

Supplementary Material. The Company shall also prepare and deliver promptly to the Underwriters copies of all Supplementary Material and of all Subsequent Disclosure Documents, signed and certified as applicable. Concurrently with the delivery of any Supplementary Material or filing by the Company of any Subsequent Disclosure Document, the Company shall deliver to the Underwriters, with respect to such Supplementary Material or Subsequent Disclosure Document, documents substantially similar to those referred to in Sections 4(a)(ii) and (iii).

The If applicable, the Company shall also prepare and deliver promptly to the Underwriters signed copies of all Supplementary Material and of all Subsequent Disclosure Documents, signed and certified as applicableMaterial. Concurrently with the delivery of any Supplementary Material or filing the incorporation or deemed incorporation by reference in the Company Prospectus of any Subsequent Disclosure Document, the Company shall deliver to the Underwriters, with respect to such Supplementary Material or Subsequent Disclosure Document, documents a comfort letter from the Company’s current auditor substantially similar to those the letters referred to in Sections 4(a)(ii) and (iiiSection 5(a)(iii).

The Company Corporation shall also prepare and deliver promptly to the Underwriters and the Selling Shareholder signed copies of all Supplementary Material and of all Subsequent Disclosure Documents, signed and certified as applicableMaterial. Concurrently with the delivery of any Supplementary Material or filing the incorporation by reference in the Company Prospectus of any Subsequent Disclosure Document, the Company Corporation shall deliver to the UnderwritersUnderwriters and the Selling Shareholder, with respect to such Supplementary Material or Subsequent Disclosure Document, documents opinions and comfort letters substantially similar to those referred to in Sections 4(a)(iiparagraphs 5(a) (iv), (v) and (iiivi), as applicable.

Concurrently with the delivery of any Supplementary Material or filing the incorporation by reference in the Company Prospectus of any Subsequent Disclosure Document, the Company Corporation shall deliver to the Underwriters, with respect to such Supplementary Material or Subsequent Disclosure Document, documents and comfort letters substantially similar to those referred to in Sections 4(a)(iiSection 5(a)(iii) and (iii)to the extent that such Supplementary Material contains any Financial Information.
