Supplements and Updates to Representations and Warranties. Empress shall deliver to the Buyers on a monthly basis written notice of supplemental information updating the information set forth in the representations and warranties set forth in Article II of this Agreement so that such representations and warranties as supplemented by such information will be true and correct as of the Closing Date as if then made; provided that no supplemental information added to or deleted from the representations and warranties of the Sellers and the updated disclosure schedules after the date hereof shall impair the Buyers' rights to assert or recover damages for a breach of the Sellers' representations and warranties made on the date hereof, and any damages accruing to the Buyers shall be paid as provided in Article XII. Prior to the Effective Time, the Sellers shall advise the Buyers of any facts which would constitute a breach of a representation or warranty as of the date made or a default in a covenant contained herein.
