The 'Supplied Materials' clause defines the responsibilities and requirements regarding any materials, components, or goods provided by one party for use in the performance of a contract. Supplied Materials a. At any time, GSK may request that Tempus return (or destroy at GSK’s sole discretion) all or a portion of the Supplied Materials to GSK at GSK reasonable expense.
Supplied Materials. SP will order the Supplied Materials from vendors mutually agreed upon by the parties. SP agrees to inspect the Supplied Materials and agrees to use all diligent efforts to replace non-conforming Supplied Materials on a timely basis. All materials and products, including Supplied Materials, paid for or provided by DAS pursuant to this Agreement shall be and remain the property of DAS.
Supplied Materials. 15.1 The Parties may agree that COMPANY supplies certain or all raw materials or packaging, which are needed to manufacture the Product, to FRESENIUS (“Supplied Materials”). If the Parties agree on this, the Supplied Materials will be listed and specified in the relevant Annex of the applicable Quality Agreement and/or the applicable Product Schedule.
15.2 COMPANY will provide Supplied Materials (as specified in the applicable Product Schedule or as specified in the relevant Annex of the applicable Quality Agreement), unless otherwise mutually agreed in writing by the Parties, [***], to the FRESENIUS manufacturing site for the Product, in such quantities and quality of the Supplied Materials as are required to enable FRESENIUS to manufacture and deliver the quantities and quality of Products ordered. FRESENIUS agrees (a) to use the Supplied Materials exclusively for the manufacturing of the Products under this Agreement, (b) to account for all Supplied Materials, (c) not to provide Supplied Materials to any third party without the express prior written consent of COMPANY, and (d) [***], to destroy or return to COMPANY all unused quantities of Supplied Materials according to COMPANY’s written directions.
15.3 If any Supplied Materials negatively deviate from the quality agreed to in writing by the Parties in the applicable Quality Agreement for such Supplied Materials or if the deliveries of Supplied Materials suffer shortfalls, damages, delays or defects not caused by FRESENIUS actions or inactions, FRESENIUS shall immediately notify COMPANY, and COMPANY shall promptly supply FRESENIUS with conforming Supplied Materials. Should COMPANY not be able to timely meet the requirements for Supplied Materials through no fault of FRESENIUS and therefore the Manufacturing is stopped, delayed, frustrated or otherwise blocked, the Parties will discuss in good faith the impact and how to deal with this situation and possible losses. Supplied Materials. BBB (itself or through the relevant BBB Affiliate) shall provide APCETH with the required starting material for the production of Product, including mobilized peripheral blood from patients and lentiviral vector as further specified in the Quality Agreement (the “Supplied Materials”). BBB shall provide APCETH with a proposed delivery schedule for Supplied Materials (“Supplied Material Delivery Schedule”), which shall be in accordance with the Forecast provided to APCETH and the present stock of released Supplied Material at APCETH. BBB and its Affiliates shall have the right to request in writing from APCETH on a [***] basis an account of its remaining stock of Supplied Material available for the production of Product.

Any changes to a supplier of Materials proposed by either Party shall be subject to the change control procedure set out in Section 2.10(b) and may not be used until, as applicable, submission has been filed to necessary health authorities and where appropriate approvals obtained.
Supplied Materials. Tandem will provide the Subcontractor with Supplied Materials in accordance with TPS-OPS-IAG- MAN-0831 Subcontractor Work Order Management Manual. Supplied Materials for each Work Order will be limited to those items set out in the purchase order which is part of the Work Order as may be amended from time to time. As between Tandem and the Subcontractor, title in all Supplied Materials remains at all times with Tandem.

CBI will be responsible for sourcing the Base Component Material, solutions of sodium hyaluronate and sodium alginate, packaging, and labeling components necessary for manufacture, packaging, and labeling of the Devices to conform to the Specifications. Axogen and CBI shall cooperate with the other and use good faith efforts to secure secondary source materials. Article 10, REGULATORY 10.1 Regulatory Approvals. Axogen will be solely responsible for obtaining all regulatory approvals necessary for the sale, marketing, and distribution of Devices. Subject to CBI’s requirements for maintaining confidentiality of proprietary methods and processes, CBI will endeavor to respond directly to the applicable Regulatory Authority with respect to proprietary information and processes used in the manufacture or processing of the Device or Demo Device, seek confidential treatment of such proprietary information of CBI, and subsequently provide Axogen with a letter of authorization to reference the necessary regulatory documentation required in response to a request for such information by a Regulatory Authority, but without providing such proprietary documentation and information to Axogen.
Supplied Materials. Upon the termination of this Agreement, FMC shall forthwith and on SRC's first written demand return to SRC all price lists, catalogs, operating and service manuals, advertising literature and display material relating to the Products.

Supplied Materials. HemaSure shall provide Command with a continuous supply of the HemaSure Materials at no cost to Command such that Command can assemble the r\LS System Filters in quantities sufficient to meet HemaSure's requirements of submitted and accepted purchase orders. If HemaSure is unable to maintain a continuous supply of the HemaSure Materials and this failure forces Command to shut down its production line, HemaSure agrees to pay to Command, as its sole recourse, $1.71 per unit scheduled to be built during the shutdown period at the then prevailing unit production run-rate. This will cover all unrecoverable costs including labor and overhead. Command's failure to supply HemaSure with assembly requirements or otherwise fail to perform its obligations hereunder shall not be deemed a breach of this Agreement to the extent such failure is caused by a lack of such a supply of the HemaSure Materials from HemaSure. HemaSure intends to maintain a two (2) week inventory of the HemaSure Materials at Command's facility during the term of this Agreement and any extension or renewal thereof as determined by reference to purchase orders for assembly of r/LS System Filters issued by HemaSure and accepted by Command.
