Common use of Supplier Assignment Clause in Contracts

Supplier Assignment. Supplier hereby assigns to UC all right, title and interest in any intellectual property rights to UC Inventions as well as all right, title and interest in tangible research products embodying UC Inventions. Supplier agrees to promptly execute any documentation needed for such assignment and to ensure that Supplier’s employees do the same as necessary to perfect title of UC Inventions for UC.

Supplier Assignment. Supplier is specifically subject to an obligation to, and hereby assigns to UC does, assign all right, title and interest in any such intellectual property rights in the UC IP to UC Inventions as well as all right, title and interest in tangible research products embodying the UC InventionsIP whether the inventions are patentable or not. Supplier agrees to promptly execute any documentation needed for additional documents or forms that UC may require in order to effectuate such assignment and to ensure that Supplier’s employees do the same as necessary to perfect title of UC Inventions for UCassignment.
