Certain capitalized terms used in this Agreement have the meanings assigned to them in Section 9.1.

4.11.3 Section 4.11.3 of Schedule 4.11 lists any rebate arrangements which exist between either of the Company or its suppliers; and
4.11.4 All notifications of price increases or rebate reductions or discount reductions from suppliers of the Company are listed on Section 4.11.4 of Schedule 4.11.

Supplier Contracts all contracts, engagements or orders entered into on or before the Effective Time by or on behalf of the Sellers for services to the Sellers mostly in connection with and in the ordinary course of the Resort Solutions Business which at the Effective Time remain to be performed in whole or in part, including all the contracts described in Part 2 of Schedule 11.

PHOTOS: I hereby xxxxx Xxxx, its directors, officers, employees, agents, and designees non-revocable permission to capture my image and likeness in photographs, videotapes, motion pictures, recordings, or any other media (collectively “Images”). I acknowledge that Xxxx will own such Images and further xxxxx Xxxx permission to copyright, display, publish, distribute, use, modify, print and reprint such GOVERNING LAW: The laws of the State of Maryland govern the rights and obligations of the parties to this Agreement and the interpretation, construction and enforceability thereof. You agree that any action or proceeding brought by me against any Released Party shall be brought solely in the courts of Maryland located in Queen Anne's County. In the event any action or proceeding is initiated by You in a court outside of Queen Xxxx's County, Maryland, You agree to pay Xxxx'x costs and reasonable attorney fees associated with defending such action or proceeding. The parties agree that in the event that any action or proceeding is initiated by either party in Queen Xxxx's County, Maryland, the prevailing party shall be entitled to recover costs and reasonable attorney's fees.
Supplier Contracts. Reseller shall not enter into any store in store -------------------- arrangements, supplier agreement or arrangements for the supply of accessories, or training services, in each case in connection with the Gateway Business, without the prior written approval of Gateway.
