Common use of Supplier Indemnity Clause in Contracts

Supplier Indemnity. Supplier agrees to indemnify and hold each of Silk Road Medical and its Affiliates, distributors, dealers, agents and customers harmless from and against any loss, claim, damage, liability or expense (including reasonable fees and expenses of counsel) which may be payable by reason of or on account of injury (including death resulting from such injury) to any person caused by, arising from, incident to, connecting with or growing out of the possession or use by any person of any Product manufactured by Supplier and sold by Silk Road Medical.

Supplier agrees to shall defend, indemnify and hold each of harmless Silk Road Medical and its Affiliates, distributors, dealers, agents and customers harmless from and against any lossall liability and expenses, claim, damage, liability or expense (including reasonable fees and expenses of counsel) which may be payable by reason of attorneys’ fees, arising from or on account of injury (including death resulting from such injury) related to any person caused by, arising from, incident to, connecting with claim made or growing out of the possession any suit or use by any person of any Product manufactured by Supplier and sold by proceeding brought against Silk Road MedicalMedical based on an allegation that Products infringe upon any third party’s Intellectual Property Rights.
