Supplier Project Manager. The Project Manager for Company is:
Supplier Project Manager. For the purposes of this Agreement, the Supplier designates
Supplier Project Manager. With respect to the Supplier Project Manager, Supplier agrees as follows:
4.1.1 The Supplier Project Manager shall be dedicated to the Customer account; provided, however that the Supplier Project Manager may: (a) upon reasonable notice to Customer, participate in training conducted by Supplier; and, (b) discharge normal administrative responsibilities as an employee of Supplier.
4.1.2 Upon assigning an individual to the Supplier Project Manager position, Supplier shall: (a) notify Customer of the proposed assignment; (b) introduce the individual to appropriate representatives of Customer; and, (c) provide Customer with appropriate information regarding the individual (consistent with applicable corporate policies and applicable law) that may be reasonably requested by Customer. Customer shall have the right to refuse the placement of an individual in the Supplier Project Manager position after the interview occurs and the information has been provided.
4.1.3 Supplier shall not replace or reassign the Supplier Project Manager for the duration of the applicable Exhibit A, unless Customer consents to such replacement or reassignment, or the Supplier Project Manager: (a) voluntarily resigns from Supplier; (b) is dismissed by Supplier; (c) fails, in Supplier's reasonable judgment, to perform duties and responsibilities pursuant to this Agreement; or, (d) dies or is unable to work due to disability.
Supplier Project Manager. Supplier will assign a qualified and trained Project Manager to represent the Supplier on matters related to Supplier performance under this SOW. The Supplier Project Manager is the interface to the HP Project Manager and is responsible for the day-to-day management, conduct and performance of Supplier employees and any HP authorized subcontractors used by the Supplier to deliver Services and/or Deliverables under this SOW. Supplier Project Manager. (a) Supplier shall designate, prior to the Effective Date, a Supplier project manager ("Supplier Project Manager") to whom all of Customer's communications concerning the Services may be addressed and who has the authority to act for and to bind the Supplier and its Affiliates, consultants and subcontractors in connection with performance under this Agreement (it being understood that amendments to this Agreement shall require the signature of either the chief executive officer or president of Supplier). The Supplier Project Manager will be the senior manager responsible for managing the performance of the Services. Supplier shall cause the person assigned to the position of Supplier Project Manager to devote substantially full time and effort to the provision of the Services under this Agreement. In addition, if at any time Customer is not reasonably satisfied with the Supplier Project Manager, Supplier will take appropriate action to resolve Customer's concerns to Customer's satisfaction.
(b) If, within one (1) year after the Effective Date, Supplier desires to transfer the Supplier Project Manager from the Customer account or modify the scope of his or her duties in the provision of the Services, Supplier must provide Customer thirty (30) days' prior written notice. In such case, Supplier must identify alternative Supplier Project Managers and ensure that the outgoing and incoming Supplier Project Managers overlap in their provision of the Services to Customer for a period of no less than one (1) month, with Supplier bearing the cost of the incoming Supplier Project Manager during such three-month period of overlap. Notwithstanding anything to the contrary in this Section, Supplier may immediately terminate the Supplier Project Manager for cause.
Supplier Project Manager. The Supplier shall promptly designate a Supplier Project Manager (subject to the prior approval of the Purchaser) who shall have the required skills and capabilities to adequately perform the role, and shall be fully authorized to make decisions and otherwise deal with the Purchaser in an effective and timely manner in respect of all matters under the Agreement. The Supplier Project Manager shall:
(a) be responsible for co-coordinating with the Purchaser the site preparation, delivery, and installation of the Equipment and provision of the related services;
(b) oversee the various stages of the delivery and installation of the Equipment to ensure their effective and timely delivery;
(c) ensure that the Supplier’s obligations are completed in an efficient and timely manner; and
(d) be readily available to the Purchaser by telephone and electronic communication during hours mutually agreed upon in writing regarding this Agreement, including, without limitation, responding to requests, queries, and complaints from the Purchaser.
