Common use of Supplier Responsibility Clause in Contracts

Supplier Responsibility. Supplier shall be responsible for the provision of the Services in accordance with this Agreement even if, by written agreement of the Parties, such Services are actually performed or dependent upon services performed by (i) Subcontractors, (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft employees, or (iii) subject to Section 6.6, Managed Third Parties.

Supplier Responsibility. Supplier shall be responsible for the provision performance of the Services in accordance with this Agreement even if, by written agreement of the Parties, if such Services are actually performed or dependent upon services performed by (i) SubcontractorsAffiliates of Supplier, (ii) subject to Section 10.2, Subcontractors and other non-Supplier Personnel, including Kraft Eligible Recipient employees, for whom Supplier is financially or (iii) subject to Section 6.6, Managed Third Partiesoperationally responsible under this Agreement.

Supplier shall be responsible for the provision of the Services in accordance with this Agreement and Subscription Agreements and the applicable Service Levels even if, by written agreement of the Parties, such Services are actually performed or dependent upon services performed by (i) Subcontractors, (ii) subject to Section 10.2, non-Supplier Personnel, including Kraft Allianz employees, for whom Supplier is financially or operationally responsible under this Agreement or a Subscription Agreement, or (iii) subject to Section 6.6, Managed Third Parties, to the extent provided in Schedule 16.2.
