Common use of Supplier’s Obligation to Process Feedstock Clause in Contracts

Supplier’s Obligation to Process Feedstock. If Supplier secures for itself or its Affiliates the right to own or operate a new Materials Recovery Facility or other similar facility in the Geographic Waste Shed, then the Parties shall in good faith endeavor to negotiate an amendment to this Agreement to incorporate terms and conditions (including appropriate economic arrangements) under which Supplier would further pre-sort and/or pre-process Processable Feedstock so that it meets a mutually agreed specification for Feedstock tailored for Fulcrum’s Facility (“Supplier Processed Feedstock”). Any such amendment shall be subject to the approval of each Party in its sole discretion, and if the Parties fail to reach mutual agreement on such an amendment, this Agreement shall continue in full force and effect unamended.
