Common use of Supply Terms Clause in Contracts

Supply Terms. 4.1 Since Entranet has made, or is making, distribution arrangements for Product with representatives in other countries, Distributor agrees that it shall not knowingly, directly or indirectly allow Product to be distributed for use in countries outside of the Territory without prior approval from Entranet. 4.2 All orders submitted by Distributor to Entranet are subject to acceptance by Entranet, to government restrictions and approval, and to allocations that may be necessary due to production capacity restrictions. 4.3 To assure a constant supply of the Product, Distributor shall stock a sufficient quantity of the Product to satisfy without delay the demands for it. To this end, Distributor shall place with Entranet timely and sufficient orders for the Product, taking into account the market demand, shipping time, and filling of the order by Entranet. Entranet shall supply and ship to Distributor as quickly as possible and always within twenty (20) days of receiving its purchase order with the amount of Product specified therein. 4.4 Distributor agrees to inspect the Product immediately upon delivery and to give notice by fax or email to Entranet within five working (5) days of such delivery of any matter of thing by reason whereof it alleges that the Product is not in good condition. If no such notice is served by the Distributor upon Entranet, the Product shall be deemed to be in accordance with this Agreement in all respects and the Distributor shall be deemed to have accepted the Product. If Distributor, having served notice on Entranet, demonstrates that the Product is not in good condition, Entranet shall at its option either replace the defective goods with Product complying with this Agreement or refund to the Distributor the price paid for defective Product. Should the Product demonstrates technical problems upon installation at a client by Distributor, Distributor is covered by the Product Guarantee and Entranet will replace such Product accordingly. 4.5 Product Guarantee/warranty terms can be found in Appendix 1 4.6 Distributor agrees to inform Manufacturer in writing three (3) months before the end of each calendar year of its estimated requirements of the Product for the following year.

Distributor shall have the responsibility of clearing customs for each shipment. 4.4 Distributor agrees to visually inspect the Product immediately upon delivery and to give notice by fax or email to Entranet within five working (5) days of such delivery of any matter of thing by reason whereof it alleges that the Product is not in good condition. If no such notice is served by the Distributor upon Entranet, the Product shall be deemed to be in accordance with this Agreement in all respects and the Distributor shall be deemed to have accepted the Product. If Distributor, having served notice on Entranet, demonstrates that the Product is not in good condition, Entranet shall at its option either replace the defective goods with Product complying with this Agreement or refund to the Distributor the price paid for defective Product. Supply Terms. 4.1 6.1 Distributor agrees that Manufacturer shall be Distributor’s sole supplier of Products and agrees that it will distribute only Products in the United States purchased from Manufacturer or manufactured or imported pursuant to a license from Manufacturer. Distributor shall not manufacture any product from any other supplier without the consent of Manufacturer. 6.2 Since Entranet Manufacturer has made, or is making, distribution arrangements for Product with representatives in other countries, Distributor agrees that it shall not knowingly, directly or indirectly allow Product to be distributed for use in countries sell Sparbar products outside of the Territory United States without prior approval from EntranetManufacturer. 4.2 6.3 All orders submitted by Distributor to Entranet Manufacturer are subject to acceptance by EntranetManufacturer, to government restrictions and approvalregulations, and to allocations that may be necessary due to production capacity restrictions. 4.3 6.4 To assure a constant supply of the Product, Distributor shall stock a sufficient quantity of the Product to satisfy without delay the demands for it. To this end, Distributor shall place with Entranet timely and sufficient orders for the Product, taking into account the market demand, shipping time, and filling Distributor undertakes to keep at all times reasonable prudent stock of the order by EntranetProduct for distribution in the United States. Entranet Manufacturer shall supply and ship to Distributor as quickly as possible and always within twenty ninety (2090) days of receiving its purchase order with the amount of Product specified therein. 4.4 6.5 Distributor shall clear the Products from the airport or other port of entry at its own expense within fifteen (15) days after their arrival in the United States. Distributor shall be responsible for the clearance of customs of Product and local transport to its facilities. 6.6 Distributor agrees to inspect the Product immediately upon delivery and to give notice by fax or email to Entranet the manufacturer within five working fifteen (515) days of such delivery of any matter of thing by reason whereof it alleges that the Product is not in good condition. If no such notice is served by the Distributor upon Entranetthe Manufacturer, the Product shall be deemed to be in accordance with this Agreement in all respects and the Distributor shall be deemed to have accepted the Product. If Distributor, having served notice on Entranetthe Manufacturer, demonstrates that the Product is not in good condition, Entranet Manufacturer shall at its option either replace the defective goods with Product complying with this Agreement or refund to the Distributor the price paid for defective Product. Should the Product demonstrates technical problems upon installation at a client by Distributor, Distributor is covered by the Product Guarantee and Entranet will replace such Product accordingly. 4.5 Product Guarantee/warranty terms can be found in Appendix 1 4.6 6.7 Distributor agrees to inform Manufacturer in writing three (3) months before the end of each calendar year of its estimated requirements of the Product for the following year. 6.8 Within 15 business days of the Effective Date, Distributor shall purchase ONE HUNDRED FIFTY THOUSANDS AND 00/100 (USD$150,000.00) worth of product from Manufacturer at Manufacturer’s then-prevailing wholesale prices (the “Initial Purchase”). Distributor and Manufacturer shall jointly determine the nature of the product ordered in the Initial Purchase. 6.9 Within 30 business days of the Effective Date, Distributor shall purchase SEVENTY THOUSAND AND 00/100 DOLLARS (USD$70,000.00) worth of product from Manufacturer at Manufacturer’s then-prevailing wholesale prices (the “Second Initial Purchase”). Distributor and Manufacturer shall jointly determine the nature of the product ordered in the Second Initial Purchase.

Supply Terms. 4.1 5.1 Distributor agrees that Manufacturer shall be Distributor’s sole supplier of Product and agrees that it will distribute only Product purchased from manufacturer except that Distributor may receive and distribute in the Public Sector, Product supplied to Distributor by international donor agencies for such distribution regardless of where the donor agency obtained such Product. All Product sold to Distributor hereunder shall be manufactured by Manufacturer in accordance with Good Manufacturing Practices. 5.2 Since Entranet Manufacturer has made, or is making, distribution arrangements for Product with representatives in other countries, Distributor agrees that it shall not knowingly, directly or indirectly knowingly allow Product to be distributed for use in countries outside of the Territory [COUNTRY] without prior approval from EntranetManufacturer. 4.2 5.3 All orders submitted by Distributor to Entranet Manufacturer are subject to acceptance by EntranetManufacturer, to government restrictions and approval, and to allocations that may be necessary due to production capacity restrictions. 4.3 5.4 To assure a constant supply of the Product, Distributor shall stock a sufficient quantity of the Product to satisfy without delay the demands for it, and Distributor undertakes to keep at all times -months’ ( ) stock of the Product for the Private and Public Sectors in [COUNTRY]. However, Distributor is not required to carry a stock of Product in the expectation of sales to entities of the Public Sector who purchase through public bidding. To this end, Distributor shall place with Entranet Manufacturer timely and sufficient orders for the Product, taking into account the market demand, shipping time, and filling of the order by EntranetManufacturer. Entranet Manufacturer shall supply and ship to Distributor as quickly as possible and always within twenty ninety (2090) days of receiving its purchase order with the amount of Product specified therein. 4.4 5.5 Distributor shall at all times remain in close contact with those entities of the Public Sector that purchase through public bidding and with those of their officers whose responsibilities have a bearing on these purchases; assure that it is immediately advised whenever a tender for [PRODUCT TYPE] is being solicited; and whenever such is the case, relay the information to the Manufacturer within forty-eight (48) hours. 5.6 Distributor shall clear the Products from the airport or other port of entry at its own expense within fifteen (15) days after their arrival in [COUNTRY].
