Support Payment. In exchange for the access to facilities and personnel and support services described in Section 8.12 below, Buyer shall pay to Seller on the Closing Date an additional amount of $60,000.
Support Payment. Technical support and maintenance described under this Section 6 and Exhibit D is subject to the payment terms of Section 7 below, and no technical support, training or maintenance services shall be provided to PALMSOURCE until PALMSOURCE complies with the terms of Section 7.

In the event that any participant in the MEGA Plan declines to exchange such participant's rights therein for options for Newco Common Stock issued pursuant to the New MEGA Plan, and, thereafter, such participant becomes entitled to any payment as a result of participation in the MEGA Plan, the Loomis Stockholders Trust shall promptly pay to such participant the amount of any such payment to which such participant would otherwise be entitled from Loomis and will indemnify and hold Newco harmless from any and all claims, damages or losses in respect of such nonexchanged MEGA Plan units.
Support Payment. Annual Support Invoices will be issued one month in advance of the anniversary of the period of cover, and must be paid in full on or before the current cover ends. The Company reserves the right to make a charge equal to one day at our standard daily rate for EVERY support activity requested whilst such Sales Invoices remain unpaid. In addition any discounts applied to the Annual Support Charge will be disallowed.

Support Payment. For the period during which this Services Addendum is in effect, payment of the fees due hereunder shall be in lieu of payment of the Support Fee for such period under Section 6.5 of the Agreement.
