Support Payment. Technical support and maintenance described under this Section 6 and Exhibit D is subject to the payment terms of Section 7 below, and no technical support, training or maintenance services shall be provided to PALMSOURCE until PALMSOURCE complies with the terms of Section 7.

Support Payment. 8.1.1. Subject to the provisions of this Agreement and in consideration of the Concessionaire accepting the Concession and undertaking to perform and discharge its obligations in accordance with the terms, conditions and covenants set forth in this Agreement, AMC/Concessionaire agrees and undertake to pay to the AMC/Concessionaire fixed charges of Indian Rupees
8.1.2. The amount will be paid on the basis of the invoice and it shall be verified by the AMC. The Concessionaire shall raise monthly invoice and attach daily weights sheets of the electronic weigh bridge installed at the entrance of the Processing Facility site, and daily gas generation sheets duly verified and approved by the AMC.

If, on the first anniversary of the Closing --------------- Date, the price (determined as set forth below) of the Parent Shares is less than $5.55 per share, then the Buyer shall pay to the Sellers, in the aggregate, an amount equal to the product of (x) 675,000, multiplied by (y) the difference between $5.55 and the greater of (x) $4.00 per share or (y) such price; provided, however, if the Parent Shares are changed into or exchanged for a different number or kind of securities of the Parent or of another entity by reason of any reorganization, merger, consolidation, recapitalization, reclassification, stock split-up, combination of shares or dividend payable in capital stock, appropriate adjustment shall be made to the foregoing calculation. For purposes of this (S)2.13, the price of the Parent Shares will be determined by taking the average of the Daily Closing Price (as hereinafter defined) for the twenty trading days immediately preceding the date of the first anniversary of the Closing Date. As used in this (S)2.13, "Daily Closing Price" means (i) if the Parent Shares are listed on a national securities exchange or quoted through the NASDAQ National Market System, the reported Consolidated Trading closing price; (ii) if the Parent Shares are quoted on the NASDAQ inter- dealer quotation system, the reported closing price for such day on such system; or (iii) if the Parent Shares are not listed on a national stock exchange or quoted on NASDAQ, the closing price reported by the National Quotation Bureau, Inc. for such day. If on the date that the price support payment referred to in the first sentence of this Section 2.13 is due there exists an "Unresolved Claim" under the Escrow Agreement, then the Buyer shall pay 25% of such price support payment to the Escrow Agent to be held by the Escrow Agent as Escrowed Property in accordance with the terms of the Escrow Agreement.

Support Payment. For the period during which this Services Addendum is in effect, payment of the fees due hereunder shall be in lieu of payment of the Support Fee for such period under Section 6.5 of the Agreement.

The foregoing payment shall only be payable once regardless of the number of times the corresponding events are achieved by a Product.”
