Surrender of Documents. Upon termination of this Agreement ------------ ----------------------- for any reason whatsoever, Employee shall turn over to Employer all notes, memoranda, notebooks, records, letters, forms, lists, calculations, blueprints, specifications, designs, drawings, software, computer programs, computer files, or other documents relating to the Intellectual Property and any other notes, memoranda, notebooks, drawings, software, computer programs, or other documents of Employer in the possession or control of Employee, including but not limited to any and all documents relating to Employer's customers, distributors, distribution systems, inventions, or patentable or copyrightable materials; it being agreed that the same and all information contained therein are at all times the property of the Employer.
